Form your company as a US legal entity through Ramp: connect or apply, pick a state, and submit the paid filing.

Your company becomes a US legal entity, formed through Ramp, with your agent doing most of the paperwork. Submitting the filing charges Ramp's formation fee.

Who Does What

  • You sign in to Ramp and enter identity details such as your SSN on Ramp's own pages. Your agent can't enter them for you.
  • Your agent fills in the rest of the application, answers the follow-up questions meant for it, and submits the filing.
  • Your agent asks you before sending answers, before submitting the filing, and before deleting an uploaded document.

Connect Ramp

Your agent first checks whether Ramp is connected. If you already have a Ramp account, it opens Ramp's sign-in for you. If you're new to Ramp, it starts an application, can prefill business and ownership details, and you get an invite by email.

If an agent created the company on its own, a person must claim it before your agent can connect Ramp, work on the application, check progress, or file. See Hand the Company to a Person.

Fill In the Application

Your agent reads the application before asking you anything, so it doesn't ask for details it already has. Every change it makes records where the facts came from, such as "legal name confirmed by the founder", and what you asked for. SSN and passport details are refused here. You enter them only on Ramp's page.

Track the Application

Whenever Ramp needs you, your agent gives you a link to the right Ramp page. Identity details such as SSN are only ever entered there.

Ramp may send follow-up questions. Each one says who should answer it. Your agent answers the ones meant for it and sends you the link for the rest. It sends the answers once the application is ready and you've said yes. It checks the uploaded documents before adding another, and deletes a duplicate or wrong upload only after you confirm.

File

You choose the state and industry with your agent. The filing also needs a short description of the business, three or more name options, and a mailing address.

Submitting charges Ramp's formation fee. The fee is Ramp's published one-time formation package price for that state, including state fees and first-year registered agent service. Review Ramp's pricing and registered agent renewal costs before you confirm. Your agent asks you to confirm the exact fee. The filing is refused if the amount differs from the published price or Ramp no longer offers the state.

After Filing

Your agent follows the government filing and tells you when your EIN is issued. On the CLI it shows the EIN. On MCP, your agent gets a dashboard link instead: open it and sign in as an admin of the company to see the EIN.

Your formation documents, which can include EIN letters, are available with download links from your agent or from the dashboard.

Filing and status commands:

cofounder company incorporation options list --lookup states
cofounder company incorporation options list --lookup industries --industry-search "software"
cofounder company incorporate submit
cofounder company incorporation registration-status get
  • Start with company incorporation get. It says whether Ramp is connected and what to run next.
  • Application updates change only the fields passed. Follow-ups marked AGENT are for your agent.
  • incorporate submit takes the state, NAICS code, description, three or more --name-option candidates, and a mailing address. It asks to confirm the fee, or takes --yes with --snapshot <fee-cents> set to the filing_fee_cents that options list --lookup states returns.
  • The longer form, cofounder company incorporation submit --confirm-fee --filing-fee-cents <cents> ..., takes the mailing address as one JSON value. On MCP, company_incorporation_submit asks for the same fee confirmation.
  • On MCP, company_incorporation_registration_status_get returns progress, filing dates, an ein_issued flag, and a dashboard_url instead of the EIN.
